Cheltenham-based BPE Solicitors, in collaboration with Toronto firm Weir Foulds LLP, has acted for Canadian non-invasive research and development company, Vivocore Inc., on its staggered all-share acquisition of Transpharmation Limited, a UK-based contract research organisation.
This strategic acquisition will enable to organisation expand its presence in the UK and continue its research into life-saving treatments by utilising the newly acquired expertise of the Transpharmation organisation.
BPE’s Senior Partner John Workman and Associate Kathryn King have overseen each stage of the acquisition, matching the commercial objectives of the buyer with the legal structures of a new territory and jurisdiction, ensuring the process ran smoothly and would achieve the commercial objectives of each party.
Partner from Weir Foulds LLP, Dan Thomson commented, “This is a significant acquisition for Vivocore and we’re really pleased with the pragmatic advice that John and the team provided. Being based in Canada added to the complexity of the deal for our client but we were always confident that John and his team would guide us safely to a satisfactory conclusion and we worked seamlessly as one team”.
John said, “This is an exciting time for the Vivocore team and I’m delighted to have supported Dan in completing this stage of the acquisition program and I look forward to watching Vivocore continue to grow”.
